Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the trophyspecialists.com.au website and services (the “Service”) operated by Griffith Trophies Pty Ltd ("Trophy Specialists", "us", "we", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
Your access to and use of the Service is conditional upon your acceptance of and compliance with these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, you must not access or use the Service.
2. Age & Capacity
You warrant that you are at least 18 years old and are legally capable of entering into binding contracts. If you are under 18 years old, you must have consent from your parent or guardian, and they must agree to be bound by these Terms on your behalf.
3. Definitions
For the purposes of this Agreement:
- "Account" means a registered user account for the Service.
- "Content" means information, text, graphics, logos, images, videos, or materials you upload, share, or post on or through the Service.
- "Confidential Information" means all non-public information relating to Trophy Specialists business, technology, software, API endpoints, processes, technical documentation, source code, data models, user interfaces, and any related matters disclosed to or accessed by contractors, partners, users, or related parties.
- "Work Product" means all plans, drawings, specifications, reports, advice, analyses, designs, code, artwork, configurations (including AI SEO configurations), SEO frameworks, SaaS platforms, backend and frontend web structures, methodologies, processes, documentation, and any other deliverables, software, or IP created for or on behalf of Trophy Specialists.
- "Platforms" means the MonstaManagement system, WebMonsta, MonstaSEO, and any other software or service developed, owned, or operated by MonstaManagement.
- "MonstaSEO" means the proprietary artificial intelligence–powered search engine optimisation platform developed, owned, and operated by MonstaManagement, including all associated software, APIs, technical documentation, data structures, content outputs, and all future enhancements, modifications, or derivatives.
- Other capitalised terms have meanings given elsewhere in these Terms.
4. Accounts and User Responsibilities
4.1 Account Creation: You must provide accurate, complete, and up-to-date information when creating an account. Failure to do so may result in immediate termination of your account.
4.2 Password Security: You are responsible for safeguarding your login credentials. You must not share, transfer, sell, or provide access to your account or any part of the Platforms to any third party, individual, or organisation outside your own company or business, unless expressly authorised in writing by Trophy Specialists.
4.3 Restricted Use and Prohibited Activities: You are strictly prohibited from providing access to the Platforms, MonstaSEO, or any associated Work Product or Confidential Information to any competitor, or to any person or entity for the purpose of developing, benchmarking, researching, analysing, or reverse-engineering any aspect of the MonstaManagement system, MonstaSEO, or related services, unless expressly authorised in writing by MonstaManagement. Any unauthorised access or use may result in immediate account termination and pursuit of all available legal or equitable remedies.
4.4 Account Activity: You remain fully responsible for all activity that occurs under your account, whether by you or any employee, contractor, or representative within your organisation. You must notify us immediately of any known or suspected unauthorised access or security breach.
4.5 Usernames: Usernames must not violate any trademark or other rights, must be lawfully available, and must not be offensive, vulgar, or obscene.
5. Content
5.1 User Content: When you post or submit Content to the Service, you grant Trophy Specialists a non-exclusive, royalty-free, worldwide licence to use, modify, display, reproduce, and distribute your Content to operate and market the Service. You retain any rights you hold in your Content.
5.2 Content Standards: You warrant that all Content is legal, does not infringe any third-party rights, and is not unlawful, obscene, offensive, defamatory, abusive, infringing, or otherwise inappropriate. You agree to keep records confirming these rights and make them available to us upon request.
5.3 Our Rights: We reserve the right to monitor, edit, or remove any Content at our sole discretion without notice.
6. Fees
6.1 Service Fee: Trophy Specialists charges a flat administration service fee for all qualifying orders made on websites using the MonstaManagement plugin and linked with a valid Monsta account. The fee is currently AUD $2.20 and may be changed at any time at our discretion. If the fee changes, we will update these Terms and provide reasonable notice on our website. Continued use of the Service after any fee change constitutes your acceptance.
7. Intellectual Property
7.1 Ownership: All rights, title, and interest (including intellectual property rights) in and to the Platforms, MonstaSEO, and all Work Product created by or on behalf of MonstaManagement remain the sole and exclusive property of MonstaManagement.
7.2 Grant of Use: Subject to your ongoing compliance with these Terms, MonstaManagement grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service and Platforms for their intended business purposes.
7.3 Restrictions: You must not use, reproduce, modify, sublicense, reverse-engineer, decompile, distribute, or otherwise exploit any part of the Platforms, MonstaSEO, or Work Product except as permitted in writing by MonstaManagement.
7.4 Opinions: Content or advice provided by users or third parties does not represent the views or opinions of Trophy Specialists.
8. Third-Party Links
Our Service may contain links to third-party websites or services not controlled by Trophy Specialists. We are not responsible for the content, privacy policies, or practices of any such third-party sites, and your use is at your own risk. We strongly recommend you read the terms and privacy policies of all third-party sites.
9. Confidentiality
You must not, without our written consent, disclose, use, or permit the use of any Confidential Information made available through the Service or Platforms, except as strictly necessary for using the Service as authorised. Breach may result in immediate suspension or termination of access and legal action.
10. Termination & Suspension
10.1 Our Rights: Trophy Specialists may, at its sole discretion and without liability, suspend, restrict, or terminate your access or account, with or without notice, if you breach these Terms or for any other reason deemed necessary to protect Trophy Specialists, its users, or the integrity of the Service.
10.2 User Rights: You may terminate your account at any time by discontinuing use of the Service.
10.3 Consequences: Upon termination, your rights to use your account and access the Service immediately cease. We may delete your data or Content, and are not required to provide you with a copy, unless required by law. Provisions that by their nature should survive termination will remain in effect (including those regarding intellectual property, confidentiality, indemnity, and limitation of liability).
11. Indemnification
You agree to indemnify and hold Trophy Specialists, its affiliates, employees, contractors, licensors, and agents harmless from all claims, demands, costs, damages, losses, and expenses (including legal fees) arising from your use of the Service, your Content, any breach of these Terms, or violation of any third-party rights or law.
12. Limitation of Liability
12.1 To the maximum extent permitted by applicable law, Trophy Specialists is not liable for any indirect, incidental, special, consequential, or punitive damages (including but not limited to loss of data, profits, goodwill, or business opportunities) arising out of your use or inability to use the Service or Platforms.
12.2 Trophy Specialists total aggregate liability to you for all claims arising from or relating to the Service is limited to the total fees paid by you (if any) in the 12 months preceding the claim.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (ACL) or any other applicable law that cannot be lawfully excluded or limited.
13. Disclaimers
The Service is provided “as is” and “as available” with no warranties of any kind. Trophy Specialists does not guarantee uninterrupted or error-free operation, merchantability, fitness for a particular purpose, or non-infringement. You use the Service at your sole risk.
14. Changes to Terms
We reserve the right to amend these Terms at any time, effective immediately upon posting the updated Terms on our website, unless otherwise stated. You are responsible for reviewing the Terms regularly. Your continued use of the Service constitutes acceptance of the revised Terms.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of Western Australia, Australia, without regard to its conflict of law provisions. You agree to submit to the non-exclusive jurisdiction of the courts located in Western Australia for the resolution of any disputes arising out of or relating to these Terms or your use of the Service.
16. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable by a court of competent jurisdiction, that provision will be deemed modified to the extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
17. Waiver
No waiver by Trophy Specialists of any breach or default of these Terms shall be deemed to be a waiver of any preceding or subsequent breach or default. Any waiver must be in writing and signed by an authorised representative of Trophy Specialists.
18. Entire Agreement
These Terms (including any policies or legal notices referenced or published by Trophy Specialists, such as our Privacy Policy), constitute the entire agreement between you and Trophy Specialists concerning your access to and use of the Service, superseding any prior agreements or understandings.
